LIMITED ("CFG MIDCO") and in discharge of CFG MIDCO's obligation pursuant to § 9 of that certain Real Estate Development Proposal Letter (the "Proposal Letter"), sent by CFG MIDCO on February 27, 2025 and accepted by both of on April 25, 2025.
